Armanino Bought AppWrap’s People, Not AppWrap

Armanino just bought a NetSuite practice by buying its people.

The firm announced that the leaders and staff of AppWrap have joined, and that 115 managed service clients came with them.

When a spokesperson was asked to confirm this was an acquisition of AppWrap as a company, the answer was that the team and the clients are joining Armanino. That’s a fairly precise and very careful answer don’t you think? Kind of tells you, in my mind, what was actually bought.

In most acquisitions, the buyer gets a client list, a methodology, some IP, and a team. Here the team and the existing clients are close to the whole value that was purchased. This correlates to what I’ve written about recently in what retention means now for the acquiring organization, in this case, Armanino.

If you buy a product company and lose a few engineers, you still own the product. If you buy a managed services practice and lose the people whose names are on the accounts, you have bought nothing more than a spreadsheet.

I’ve watched this go both ways in this channel for a long time now. The deals that hold their value are the ones where somebody had the retention conversation with the top delivery people before the announcement, not after it.

AppWrap’s clients are almost entirely public or PE-backed, so the scrutiny on service continuity starts immediately. Those sponsors will notice the changed Partner name on the very 1st status update call if not sooner.

So this will be a good live case study of what we’ve been discussing online, let’s see if AppWrap and/or Armanino had the forethought to put together an employee retention plan into place ahead of their announcement.

If not, I’ll be sending out alot of new “congrats on the new position” messages here over the next few months and those AppWrap customers may be wondering what’s up as well when their key “go to” consultants are not the same as before. Time will tell.
